Bausch + Lomb Direct Terms and Conditions

Delivery of goods as ordered by a customer shall be deemed to constitute acceptance of these terms and conditions.

Delivery charges for Bausch + Lomb Direct, to practice or patient home, apply as follows:

The prices of products are shown in the current price list and we reserve the right to vary prices and conditions without notice.

Prices quoted are exclusive of VAT and delivery charges. RRP pricing is inclusive of VAT (as per current stand VAT rates).

Payment of an invoice must be made by the 20th day of the month following the statement on which the invoice first appears. If you fail to pay by the due date, we shall be entitled to suspend or cancel deliveries of any goods, and/or charge interest on unpaid amounts at a rate of 4% p.a above L.I.B.O.R.

Any delivery date quoted by us is an estimate only and we can accept no responsibility for any loss or damage caused by delayed delivery.

Any right that you have to reject the goods as not complying with the contract or delivery note must be exercised within 10 days of delivery.

We have the right to cancel orders at any time.

The descriptions, illustrations, performance figures or specifications contained in literature, price lists and other advertising matter shall not form part of any contract unless specifically incorporated therein.

We warrant that upon delivery the goods shall be free from all manufacturing defects and defects in design, materials or workmanship. We will make good any products that do not confirm to the above warranty and we will indemnify you from all damages of claims of third parties involving death or personal injury or property damage resulting from or caused by a breach of such warranty. Where you are the consumer of the product, this warranty shall not affect your statutory rights as a consumer.

Manufacturer guarantee

Any product which has a suspected manufacturer fault may be returned for analysis and/or full credit or exchange.

Any product which has been incorrectly supplied and or damaged in transit will be exchanged or credited in full providing that the product is returned within 30 days from the date of invoice together with original paperwork.

Discretionary returns policy

To enable us to process your credit/exchange more efficiently please enclose your delivery note.

Bausch + Lomb do not accept returned Lens Care products for exchange or credit, unless due to a manufacturer supply error or a suspected manufacturer fault.

Bausch + Lomb offer a discretionary returns policy for soft disposable lenses and will accept return of all soft disposable lens products for credit or exchange providing the product is:

• Current product range with a minimum of 12 months shelf life

• Returned within 60 days from date of invoice

• Returned together with the original paperwork/order details

• In re-saleable condition e.g. unmarked, undamaged

• Excludes products originally provided as part of a promotional campaign

• Excludes original packaging and delivery charges

These terms and conditions shall in all respects be construed in conformity with English law and any dispute arising from them shall be subject to the jurisdiction of the English Courts.

Please note that calls to Customer Services may be recorded for training purposes.

Payment for financial services

We also offer Payment Collections as part of Bausch + Lomb Direct. These optional services are provided by Adaro Optics Ltd. In addition to the delivery charges for Bausch + Lomb Direct mentioned previously, a transaction fee applies for usage of these optional services:

• Direct Debit - This is a bureau service for managing monthly direct debit collections from your patients. The fee is £0.35 for each payment collection.

• Patient Portal - This allows your patients the option to login and re-order the prescribed products when convenient for them. The transaction fee is 3.5% of the collection amount for credit cards or £1.00 for debit cards.

Account Balance

Payment for payment collections on Bausch + Lomb Direct is a pre-pay model, similar to a Pay & Go mobile phone. The account balance can be topped up via the Bausch Direct payment facility.

If the 'automatic top up' is selected, the Customer allows Adaro Optics Ltd to debit the customer's card / bank account with the amount selected once the balance of the account reaches a level less than the charge for one delivery. Depending on your individual preference, you can select an amount between £50 and £500.

Alternatively, you also have the option of making manual payments. However you have to ensure that your balance does cover the service fees when placing an order.

Your Bausch + Lomb Direct balance can be looked up at any time through accessing your personal account. Moreover, your security is always protected; if the automatic top up option is selected, we merely store the last four digits of your card on our secured systems. We register your card with the bank on setup and use a specific reference for all future transactions.

The following provides an overview of how we protect your privacy, as well as the privacy of your patients, in your dealings with Adaro Direct:

a.) What information do we hold / gather?

Your store business contact details, delivery details and invoicing information. With regards to patients, we will only collect and hold that information which is required to carry out direct to patient deliveries on your behalf, that is name, prescription and delivery information.

b.) How do we use this information?

The information collected may be stored in databases at both Bausch + Lomb and Adaro Optics Ltd and will be used for the purchasing and delivery of products from Bausch + Lomb. The patient information is held to allow Adaro to deliver products on behalf of yourself to your patients. If we should have to collect and use data for other purposes, we would inform you beforehand.

c.) Who else has access to this information?

Your information may be shared between Bausch +Lomb and Adaro Optics Ltd. It will only be used in accordance with UK law and our Data Privacy Policy, and will be held securely. We will not share your personal information with any third party, except where necessary to meet your requirements.

d.) Sensitive personal data

We do not seek to collect or hold any sensitive personal information for the purposes of purchasing products. We hold patient information for the sole purpose of delivering product on your behalf. If we do at any point collect sensitive personal data then we would seek your permission at the point of collection.

e.) Access to your information

You are entitled to have access to information we hold about you and have it corrected if it is inaccurate. If you would like to have access or have any questions regarding privacy, please send a request in writing to our privacy officer at the address below.

Jurisdiction

This Agreement shall be governed and construed in accordance with English law and subject to the exclusive jurisdiction of the Courts of England and Wales.
